Learn how to create and submit term sheets for credit facilities

Overview

Term sheet submission is the first step in requesting a credit facility. As a borrower, you create a term sheet proposing the key terms, sign it electronically via Adobe Sign, and submit it to the facility agent for review. This guide provides detailed steps for creating and submitting a term sheet.

Who Can Use This

      • Borrowers: Create and submit term sheets for new credit facility requests

When This Is Used

Use term sheet submission when:

      • You want to request a new credit facility
      • You need to propose terms to a facility agent
      • You want to initiate the credit facility workflow

Step-by-Step Process

Step 1: Access Credit Facility Dashboard

1. Navigate to Credit Facility

      • Log in to the platform with your Borrower credentials
      • From the left expandable menu (expands when you hover), click on Credit Facility
      • Your Credit Facility dashboard displays

Step 2: Start Term Sheet Setup

1. Click Term Sheet Setup

      • Click the Term Sheet Setup button at the top right
      • Two options appear:
            ◦ Create Via Wizard: Create term sheet step-by-step
            ◦ Upload Signed: Upload an already-signed document

2. Select Create Via Wizard

      • Click Create Via Wizard
      • A popup opens for entering term sheet details

Step 3: Enter Term Sheet Details

1. Fill in Facility Information

      • Requested Commitment Amount: Maximum amount you want to borrow
      • Advance Rate: Percentage of collateral value that can be borrowed
      • Pricing Index: Base interest rate index (SOFR, SOFR 1M, etc.)
      • Margin: Spread added to the pricing index
      • Fixed Rate: Fixed interest rate (if applicable)
      • Maturity Date: When the facility expires
      • Drawdown Frequency: How often you can draw funds (Monthly, Quarterly, etc.)
      • Covenant Template: Applicable covenant template

Step 4: Upload Supporting Documents

1. Upload Required Documents

      • Collateral Profile: Your collateral profile document
      • Financial Statements: Your financial statements
      • KYC Documents: Know Your Customer documentation
      • Collateral Data: Collateral data files

Step 5: Create Draft

1. Review Information

      • Verify all fields are filled correctly
      • Ensure all documents are uploaded
      • Check for accuracy

2. Click Create Draft

      • Click Create Draft to create the term sheet
      • Status is Draft

Step 6: Sign the Term Sheet

1. Adobe Sign Popup Opens

      • After clicking Create Draft, an Adobe Sign popup window opens automatically
      • The popup shows the term sheet document with your entered details

2. Complete E-Signature

      • Review the document
      • Complete the electronic signature
      • Status changes to BorrowerSigned

Step 7: Submit to Facility Agent

1. Submit Popup Appears

      • After signing, a Submit to FA popup appears

2. Submit or Cancel

      • Click Submit to send to the facility agent
      • Status changes to FAReview
      • If you click Cancel, you can submit later

3. After Submission

      • Facility agent receives notification
      • Action in dashboard changes to View Term Sheet
      • Wait for facility agent's decision

If You Cancelled the Submit Popup

1. Submit Later from Dashboard

      • Your term sheet shows BorrowerSigned status
      • Action column shows Submit Term Sheet
      • Click Submit Term Sheet when ready
      • Status changes to FAReview

Rules & Validations

      • All Required Fields: Complete all required fields before creating draft.
      • Documents Required: Upload all required supporting documents.
      • Signing Required: You must sign via Adobe Sign before submitting.
      • One Submission: Once submitted, wait for the facility agent's decision.
      • No Edit After Submit: You cannot edit while in FAReview status.

What Happens Next

After Submitting:

      • Facility agent reviews your term sheet
      • You receive notification of the decision

If Approved:

      • Status changes to Accepted
      • Master commitment is auto-created
      • Facility configuration begins

If Rejected:

      • Status changes to Rejected
      • Create a new term sheet if needed

If Changes Requested:

      • Status changes to CHANGES_REQUESTED
      • Edit and resubmit your term sheet
